Inspiration from the Pocket Lawyer for Filmmakers

Reading the Pocket Lawyer for Filmmakers inspired a couple of thoughts as to what independent telcos should be doing concerning Local Content, which they probably are not doing today. Club Viodi members can read these thoughts in the rest of this post.

An Independent Entity & E/O Insurance

One of the first things that Crowell states is that a Limited Liability Company is typically set-up to provide a corporate veil for each film project. Based on the comments in the book and subsequent conversations with another attorney, it probably makes sense for independent telcos to be setting up separate LLC’s for their Local Content Production efforts. Some reasons for doing this include:

  • Provide some level of protection to the phone company in the event the production company has legal difficulties (e.g. major copyright violation).
  • Provides much more transparent financials, so it would enforce a discipline to ensure the recognition of all revenues and expenses.
  • Provide the independent entity with more flexibility in terms of applying for grants that may be targeted at smaller entities.
  • May make it easier to exempt from the FCC Closed Captioning rules (there is a clause that exempts those organizations with less than $3 million in revenue – if a telco’s revenues were considered, then a telco might not receive this exemption).
  • Errors and Omissions Insurance is something that we have discussed in the past at a real high level and Angela Abshier had reminded people of the importance at the Video Production Crash Course in Las Vegas in April 2007. Crowell’s book emphasizes the importance of it as well. Angela is investigating whether there are economies of scale that can be achieved by pooling Club Viodi members into some sort of Master E & O Insurance plan.
